Company (A) faced one such dispute, and our firm played a pivotal role in achieving justice and success in resolving the matter.
Before delving into the details of the case, it is essential to highlight that the arbitration award itself was the most critical part of Company (A)’s success story. Arbitration, as a means of resolving commercial disputes, has gained significant prominence in the Middle East, particularly in the Kingdom of Saudi Arabia. Arbitration is a preferred option for business owners due to the swift and efficient solutions it offers, far removed from the complexities and prolonged procedures associated with traditional courts. In Saudi Arabia, arbitration has seen increasing attention and remarkable development, reflecting the desire of companies and institutions to resolve their disputes in more flexible and efficient ways that ensure the preservation of business relationships and the achievement of justice in accordance with local and international laws and regulations.

The Beginning: A Complex Dispute

In February 2022, Company (A) entered into three sales contracts with Gulf Trading Company (B). The contracts involved the supply of specific chemicals for various industrial uses. The contracts stipulated that the shipments would be made from India to Dammam under specified terms, including that the cost would be inclusive of insurance and shipping. It was also agreed that the defendant would pay the full purchase price through a bank transfer in exchange for receiving the original bills of lading.

During the performance of the contracts, significant disputes arose between the parties, mainly related to the execution of the contractual terms. The complexity of the dispute necessitated decisive legal intervention to resolve the outstanding issues.

Dispute Details

Company (A) fulfilled its contractual obligations in two stages (the first shipment in March 2022 and the second in April of the same year) and issued five invoices totaling USD 1,869,750. However, Company (A) was surprised when, upon the arrival of the second shipment at Dammam port in May, Company (B) refused to pay the invoices and receive the goods, citing that all the goods had been shipped in one batch, contrary to the agreed terms, and that it was unable to pay the full amount at that time.
Between May and June 2022, the parties exchanged several correspondences and proposals concerning the dispute. On June 5, 2022, Company (B) paid USD 80,000 to Company (A) as part of the outstanding amount for the disputed goods. In June 2022, it was agreed that Company (A) would retrieve all the disputed goods, and during the period from June to August 2022, the goods were shipped from Dammam port to Jebel Ali port. Company (A) incurred losses amounting to USD 291,000 in storage, transportation, and demurrage fees, supported by invoices and bank transfers.
As the goods began to deteriorate due to delays in receiving them and the increasing storage costs, Company (A) had to resell the goods to other buyers between July and November 2022 for a total amount of USD 1,257,589, which was less than the originally agreed price of USD 1,869,750 with Company (B), resulting in a loss of USD 612,171.
At this stage, Company (A) decided to seek legal assistance from our firm, Al-Madani & Partners, to protect its rights. Case Review and Strategy Development

We began by conducting a thorough review of all three contracts and the related disputes. Arbitration Proceedings

We filed a request for arbitration before the Saudi Center for Commercial Arbitration in July 2023. It was essential to prepare a strong and comprehensive case file to support our client’s position. We submitted all the necessary documents, including the three contracts, invoices, and delivery receipts.
In August 2023, the Center held an administrative meeting to discuss the arbitration procedures. It was important for us to ensure the appointment of a neutral and experienced arbitrator to adjudicate the dispute. A sole arbitrator with extensive experience in commercial arbitration was appointed.

As the arbitration sessions began, our team was fully prepared. We presented all necessary evidence and testimonies to support our client’s position. We also focused on presenting the legal arguments convincingly and persuasively before the arbitration panel. One of the challenges we faced was convincing the panel to apply English law to the subject matter of the dispute, as stipulated in the contracts.

Legal Defense and Negotiation

Defending our client required presenting strong arguments and refuting the other party’s claims. We meticulously dismantled every claim made by Company (B), relying on indisputable legal documents and evidence. We also highlighted the defendant’s breaches of the contractual terms.

The Final Award: A Well-Deserved Victory

After months of hard work and intense preparation, the awaited day arrived. In July 2024, the arbitration panel issued its final award. The result was in our client’s favor, recognizing Company (A)’s entitlement to the claimed compensation and requiring Company (B) to bear the arbitration costs and attorney fees.
